Terms of Service
These Terms of Service ("Terms") are a legal agreement between you ("you", "your", or "Customer") and Digital Invoicing ("Digital Invoicing", "we", "us", or "our") and govern your access to and use of our website at digitalinvoicing.co and our FBR-compliant digital invoicing and point-of-sale software (together, the "Service").
By creating an account, starting a trial, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms. If you do not agree, do not use the Service.
1. The Service
Digital Invoicing provides software that helps you create sales tax invoices, transmit them to the Federal Board of Revenue ("FBR"), and receive an invoice reference number (IRN) and QR code. The Service is a tool that assists you with compliance; it does not replace your own legal and tax obligations. You remain solely responsible for meeting all applicable FBR and other legal requirements that apply to your business.
2. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate, current, and complete information, to keep it up to date, and to keep your login credentials confidential. You are responsible for all activity that occurs under your account.
3. Your responsibilities
You are solely responsible for:
- the accuracy, completeness, and legality of all data you enter or submit through the Service, including invoice and tax data;
- maintaining valid and current FBR registration and any other registrations or licences your business requires;
- reviewing invoices, IRNs, and reports for correctness and reporting any discrepancy to us promptly;
- your own compliance with all applicable tax laws, FBR notifications, and other legal requirements; and
- using the Service only for lawful purposes and not in any way that could damage, disable, or impair the Service.
4. Fees, trials, and payment
Plan features and prices are set out on our pricing page and may be updated from time to time. Paid plans are billed in advance on a recurring basis until cancelled. Free trials, where offered, may be changed or withdrawn at any time. Unless required by applicable law, fees are non-refundable and payments already made are not pro-rated on cancellation. You are responsible for any taxes associated with your purchase. We may change prices on prospective notice; continued use after a price change takes effect constitutes acceptance.
5. FBR and third-party dependencies
The Service depends on FBR’s systems and on third-party infrastructure (such as hosting and connectivity providers) that we do not control. We do not guarantee that any invoice will be accepted, validated, or processed by FBR, and we are not responsible for FBR system availability, outages, delays, rejections, changes to FBR rules or formats, or any penalties, fines, interest, or other consequences arising from FBR’s systems, decisions, or requirements. Where FBR is unavailable, the Service may queue submissions and retry, but timely acceptance cannot be guaranteed.
6. Service availability
We aim to keep the Service available and reliable but the Service is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, timely, error-free, or secure. We may modify, suspend, or discontinue any part of the Service, and may perform scheduled or emergency maintenance, at any time.
7. No professional advice
The Service and any content we provide are for general informational and operational purposes only and do not constitute tax, legal, accounting, or professional advice. You should obtain advice from a qualified professional regarding your specific circumstances before relying on any output of the Service.
8. Intellectual property
The Service, including all software, text, design, and trademarks, is owned by Digital Invoicing or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes during your subscription. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Service except as permitted by law.
9. Acceptable use
You agree not to misuse the Service, including by attempting to gain unauthorised access, interfering with its operation, uploading malicious code, submitting false or fraudulent data, infringing others’ rights, or using it to violate any law. We may suspend or terminate access for any breach.
10. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the Service will result in compliance with FBR or any other legal requirement. No advice or information obtained from us creates any warranty not expressly stated in these Terms.
11. Limitation of liability
To the maximum extent permitted by applicable law, Digital Invoicing and its owners, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or in connection with the Service, even if advised of the possibility of such damages.
In particular, we shall not be liable for any tax, penalty, fine, default surcharge, interest, or other liability imposed on you by FBR or any authority, whether or not arising from use of the Service.
Our total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the total fees actually paid by you to Digital Invoicing in the three (3) months immediately preceding the event giving rise to the claim (or, if you use the Service free of charge, PKR 5,000). These limitations apply to all claims, whether based in contract, tort, negligence, statute, or otherwise. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Digital Invoicing and its owners, employees, and suppliers from and against any claims, damages, liabilities, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your data, your breach of these Terms, or your violation of any law or the rights of any third party.
13. Suspension and termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, create risk or legal exposure for us, or where required by law. On termination, your right to use the Service ends; provisions that by their nature should survive (including sections 3, 5, 7, 8, 10, 11, 12, and 15) will survive.
14. Changes to the Service and these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
15. Governing law and jurisdiction
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-laws principles. You agree that the courts at Lahore, Pakistan shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
16. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, civil unrest, strikes, governmental or regulatory action, failures or changes of FBR or other third-party systems, and failures of the internet, power, or telecommunications.
17. General
These Terms, together with our Privacy Policy, are the entire agreement between you and Digital Invoicing regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
